Terms of Sale

In effect as of May 4, 2026

These Terms of Sale, together with the Terms of Service and the Privacy Policy, form the contract applicable between the user and NUNC SASU. Subscribing to a plan, whether free or paid, constitutes full acceptance of these Terms of Sale.

Article 1 — Publisher identification

The Referys service (referys.com and app.referys.com) is published by NUNC SASU, a simplified joint-stock company with a sole shareholder, registered under SIREN 988 169 439 (RCS Narbonne), intra-community VAT number FR52988169439, with its registered office in Narbonne (France).

Article 2 — Service description

Referys is a SaaS Personal Relationship Manager application for independent professionals whose activity relies on a network of contacts: independent real estate agents, brokers, advisors, coaches, consultants.

The service supports contact management, scheduling of touchpoints, AI-assisted message generation, network tracking and activity statistics.

Referys is not a real estate transaction tool within the meaning of the French Hoguet law (law no. 70-9 of January 2, 1970) and does not handle listing agreements, sale agreements, or deeds of sale. The user remains solely responsible for their professional activity and the associated regulatory obligations.

Article 3 — Plans, pricing and subscription terms

Three plans are available. Prices are shown in euros, inclusive of applicable French VAT, in effect on the subscription date. Up-to-date details are available at referys.com/pricing.

Starter plan (free) : Access to the Network module, up to 75 contacts, 50 AI credits per month (renewed monthly), 1 Pepito tip per week. No time limit, no payment card required.

Pro plan : €8.99 incl. VAT/month or €89.99 incl. VAT/year (i.e. €7.50/month, equivalent to 2 months free, -17%). Unlimited contacts, all modules, 1,500 AI credits/month, Pepito personal coach, market intelligence.

Unlimited plan : €14.99 incl. VAT/month or €149 incl. VAT/year (i.e. €12.42/month, -17%). Includes everything in Pro, plus unlimited AI credits, unlimited email campaigns and priority support (response in under 24 business hours).

Trial period : Signing up for the Pro plan opens a 14-day free trial, no card required. After 14 days, without a paid subscription, the account automatically falls back to the free Starter plan. No charge occurs during the trial.

VAT : Professional users established in another European Union country may benefit from the VAT reverse-charge mechanism by providing a valid intra-community VAT number. Outside the EU, prices are exclusive of French VAT.

Pricing changes : Prices may evolve. Any change applicable to a current subscriber is notified by email with 30 days' notice. The subscriber may cancel free of charge before the new pricing applies.

Referral program : 30 days of Pro granted for every referral who subscribes to a paid plan, under the conditions detailed on the Referral page.

Article 4 — Subscription and payment methods

Subscriptions are made from app.referys.com (card payment via Stripe, a PCI-DSS certified provider) or from the Apple App Store and Google Play Store (payment via Apple ID or Google Play Billing).

The publisher does not store card numbers or CVV codes: this data is processed exclusively by Stripe, Apple or Google depending on the channel chosen.

An invoice (web payment) is issued automatically after each charge and accessible from the app settings. For payments via the App Store or Play Store, the invoice is issued by Apple or Google according to their procedures.

Article 5 — Auto-renewal

Pro and Unlimited subscriptions are entered into for a one-month or one-year term depending on the chosen plan. They renew automatically at the end of each period, by automatic charge on the registered payment method, until canceled by the user under the conditions of article 6.

For subscriptions purchased via the App Store or the Play Store, auto-renewal is managed exclusively by the corresponding platform. It can be turned off at any time in the Apple ID account settings ("Subscriptions") or Google Play ("Payments & subscriptions"), at least 24 hours before the end of the current period.

Article 6 — Term and cancellation

The subscription has no commitment. The user can cancel at any time:

  • Web subscription (Stripe): from the app settings, "Subscription" section. Cancellation takes effect at the end of the current billing period.
  • App Store subscription: from iOS Settings > Apple ID > Subscriptions, at least 24 hours before the end of the current period.
  • Play Store subscription: from the Play Store app > Payments & subscriptions, at least 24 hours before the end of the current period.

No partial refund is issued for periods already started, except in the following cases: (i) proven billing error; (ii) 14-day money-back guarantee on the Unlimited plan described in article 7.

The publisher reserves the right to suspend or terminate an account in case of a serious breach of the Terms of Service by the user (in particular fraud, quota circumvention, unlawful content), after notification and a reasonable cure period where the nature of the breach allows.

Article 7 — Right of withdrawal and money-back guarantee

Right of withdrawal (consumers) : In accordance with article L221-28 1° of the French Consumer Code, the 14-day right of withdrawal does not apply to contracts for the supply of services fully performed before the end of the withdrawal period. By subscribing to a paid plan, the consumer expressly consents to immediate performance of the service and acknowledges that they lose their right of withdrawal upon first effective use of any paid feature.

This article does not apply to professional users (active independent agents), who are not covered by the consumer right of withdrawal.

14-day money-back guarantee — Unlimited plan only : The Unlimited plan benefits from a commercial 14-day money-back guarantee. If the user is not satisfied, they may request a full refund of the first Unlimited payment by email at contact@referys.com within 14 days of subscription, without having to justify their request. The refund is processed within 14 business days. This guarantee only applies to the first Unlimited subscription per account. For subscriptions made via the App Store or Play Store, the refund is processed by Apple or Google according to their procedures.

Article 8 — Service availability and force majeure

The publisher commits to use reasonable means to ensure a target availability of 99.5% on a monthly average, excluding planned maintenance and cases of force majeure.

Planned maintenance is announced at least 24 hours in advance and preferably scheduled outside business hours (Europe/Paris).

The publisher cannot be held liable for interruptions caused by force majeure within the meaning of article 1218 of the French Civil Code, by a third-party action (host, telecom operator, AI provider), by a cyberattack or by any cause beyond its reasonable control.

Article 9 — Liability

Referys is a customer relationship tool provided with a best-efforts obligation. The publisher cannot be held liable for the commercial outcomes obtained by the user, nor for the accuracy of data generated by the AI features (suggestions, messages, scoring), which must always be reviewed and validated by a human before any sending.

Except in case of gross negligence, fraud or willful misconduct, the total liability of the publisher towards the user, all heads of loss combined, is capped at the total amounts effectively paid by the user during the 12 months preceding the event giving rise to liability.

The user is solely responsible for compliance with the rules applicable to their professional activity (Hoguet law where applicable, professional ethics, anti-money laundering, GDPR for the contacts they record, marketing rules, ePrivacy).

Article 10 — Personal data

The processing of personal data is governed by the Privacy Policy, which is an integral part of the contract. The user is data controller for the data of their own contacts; Referys acts as data processor within the meaning of article 28 of the GDPR for that data.

Article 11 — Pre-contractual information (consumers)

In accordance with articles L111-1 and L221-5 of the French Consumer Code, essential information is summarized here: main service features (article 2), prices including VAT (article 3), payment, performance and cancellation terms (articles 4 to 6), contract duration and tacit renewal (article 5), absence of withdrawal right after start of performance (article 7), legal guarantee of conformity, publisher identity and contact details (article 1). All this is summarized on the payment page before order validation.

Article 12 — Consumer mediation

In accordance with article L612-1 of the French Consumer Code, in case of an unresolved dispute via amicable means, consumers may turn to a consumer mediation service free of charge. European Online Dispute Resolution platform: ec.europa.eu/consumers/odr.

The competent mediator designated by NUNC SASU is specified on the Legal Notice page and notified on request at contact@referys.com.

Article 13 — Changes to the Terms of Sale

The publisher may modify these Terms of Sale for legal, technical, commercial or security reasons. Any substantial change is notified by email to current subscribers with 30 days' notice. Absent objection within that period, the new Terms of Sale are deemed accepted. In case of disagreement, the user may cancel free of charge.

Article 14 — Governing law and jurisdiction

These Terms of Sale are governed by French law. Failing amicable resolution, and without prejudice to the mediation procedure provided for in article 12, any dispute falls under the jurisdiction of the French courts. For consumers, the territorial jurisdiction rules of the French Code of Civil Procedure apply.

In case of translation of these Terms of Sale into another language, the French version prevails in case of contradiction.
