Terms of Service

These Terms of Service (ToS) govern the use of the Referys service by every user. They supplement the Terms of Sale and the Privacy Policy, which are an integral part of the contract. Creating an account constitutes full acceptance of these Terms.

Article 1 — Purpose and acceptance

These Terms set out the terms of access and use of the Referys service, published by NUNC SASU (SIREN 988 169 439), accessible at referys.com and app.referys.com and via the iOS and Android apps. Any use of the service implies unreserved acceptance of these Terms.

Article 2 — Eligibility

The service is reserved for individuals of legal age (minimum 16 years old in the European Union, 18 in countries requiring commercial majority) acting in a professional capacity or in the process of starting their professional activity.

The user warrants having the legal capacity to subscribe to and use the service.

Article 3 — Account creation and security

Creating an account requires a valid email address. Authentication is done via Magic Link or Google OAuth; no password is stored by Referys.

The user agrees to provide accurate information upon registration and to keep it up to date. They are solely responsible for the confidentiality of access to the email inbox and associated Google account.

One account per individual. Reselling, sharing or making an account available to a third party is strictly forbidden. In case of use by several people (team), the user agrees to subscribe to distinct nominative accounts or a multi-seat plan (contact@referys.com).

Article 4 — Service description

Referys is a Personal Relationship Manager application designed for independent professionals. The detail of features and plans is set out in the Terms of Sale (article 3) and on the Pricing page.

Article 5 — User commitments

The user agrees to use Referys in compliance with applicable laws, these Terms and the professional standards of their trade.

When the user records data about third parties (contacts), they act as data controller within the meaning of the GDPR. They agree to:

  • have a valid legal basis (legitimate professional interest, consent, performance of a contract) for every contact recorded;
  • inform their contacts of the processing carried out via Referys, in particular when sending them communications;
  • honor the rights of access, rectification, objection and erasure of their contacts;
  • not record special categories of data (health, political or religious opinions, sexual orientation, etc.) within the meaning of article 9 of the GDPR.

Article 6 — Prohibited behaviors

The following are strictly prohibited:

  • Sending spam or unsolicited commercial communications in violation of applicable rules (GDPR, ePrivacy, equivalent local laws);
  • Using the service for unlawful, fraudulent, defamatory, racist, sexist, harassing purposes, or in any way contrary to public policy;
  • Scraping, large-scale automated extraction, reverse engineering, decompilation or any attempt to access the source code or internal components of the service;
  • Circumventing usage quotas (AI credits, email campaigns, contacts) by any technical means or by creating multiple accounts;
  • Using automated tools to generate content in bulk, exploit vulnerabilities or simulate human activity beyond the intended functions;
  • Using the Pepito AI or message generation features to produce misleading or counterfeit content, content attributed to a third party without their knowledge, or content infringing copyright;
  • Recording underage contacts or sensitive data within the meaning of article 9 of the GDPR.

Article 7 — User content

The user remains the full owner of the content they record in Referys (contacts, notes, custom templates). They grant NUNC SASU a non-exclusive, worldwide license, limited to the duration of the subscription and strictly necessary to operate the service (storage, processing, backup).

This license in no way authorizes NUNC SASU to exploit such content for commercial or marketing purposes, nor to share it with third parties, except the technical subprocessors listed in the Privacy Policy.

Upon account deletion, the license ends and the content is erased in accordance with section 10 of the Privacy Policy.

Article 8 — AI-generated content (Pepito and assisted features)

Referys offers artificial intelligence features (Pepito coach, message generation, follow-up suggestions, scoring) operated in particular through the Anthropic API.

AI-generated content is a suggestion. It may contain errors, approximations or inappropriate wording. The user is solely responsible for reviewing, validating and ultimately using the content before sending it to any third party.

AI features do not constitute legal, tax, financial, regulated real estate or medical advice. Any professional decision remains the sole responsibility of the user.

Conversations with Pepito are stored on Referys infrastructure to ensure conversational continuity. Data transmitted to Anthropic via the API is not used by Anthropic to train its models, in line with Anthropic's API terms.

Article 9 — Referys intellectual property

The REFERYS trademark is registered with the INPI under classes 9, 35, 36 and 42. The name, logo, graphic charter, source code, documentation, website content and design elements are the exclusive property of NUNC SASU and protected by copyright, trademark law and database rights.

The subscription grants the user a personal, non-exclusive, non-transferable right of use, limited to the duration of the subscription, to the exclusion of any other right. Any reproduction, modification, distribution or commercial use without prior written authorization is forbidden.

Article 10 — Suspension and termination by the publisher

NUNC SASU may temporarily suspend or permanently terminate an account in case of:

  • serious breach of these Terms (in particular article 6 — prohibited behaviors);
  • persistent payment default;
  • proven fraud or attempted fraud;
  • request from competent judicial or administrative authorities;
  • harm to the security or integrity of the service or other users.

Except in case of emergency or serious misconduct, suspension is preceded by a notification allowing the user to share their observations or remedy the breach. Termination for cause is followed by a reasoned email notification.

Article 11 — Account deletion by the user

The user may delete their account at any time:

  • from the app (Settings > Account > Delete my account);
  • from the public URL app.referys.com/auth/delete-account, accessible without prior authentication in line with App Store and Play Store requirements;
  • by email at contact@referys.com.

The consequences (data erasure, retention periods) are detailed in section 10 of the Privacy Policy.

Article 12 — Specific provisions for the Apple App Store (EULA)

In accordance with Apple Inc. requirements, the following provisions apply in addition to these Terms for the Referys iOS app downloaded from the App Store. In case of conflict with the general Terms, the provisions of this article prevail solely with regard to the iOS app.

Acknowledgment : The user acknowledges that this agreement is entered into solely between themselves and NUNC SASU, and not with Apple. NUNC SASU is solely responsible for the Referys iOS app and its content.

Scope of license : The license granted to the user for the Referys iOS app is limited to a personal, non-transferable use, on any Apple-branded product owned or controlled by the user, in accordance with the Usage Rules set forth in the Apple Media Services Terms and Conditions.

Maintenance and support : NUNC SASU is solely responsible for providing any maintenance and support services for the Referys iOS app. Apple has no obligation whatsoever to provide any maintenance or support services with respect to the app.

Warranties : In the event of any failure of the Referys iOS app to conform to any applicable warranty, the user may notify Apple, who will refund the purchase price (if any). To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the app. Any other claims, losses, liabilities, damages or expenses attributable to any failure to conform to any warranty will be the sole responsibility of NUNC SASU.

Product claims : NUNC SASU is responsible for addressing any claims of the user or any third party relating to the Referys iOS app or the user's possession or use of the app, including but not limited to: (i) product liability claims; (ii) any claim that the app fails to conform to any applicable legal or regulatory requirement; (iii) claims arising under consumer protection or similar legislation.

Intellectual property rights : In the event of any third-party claim that the Referys iOS app or the user's possession and use of the app infringes that third party's intellectual property rights, NUNC SASU will be solely responsible for the investigation, defense, settlement and discharge of any such claim.

Legal compliance : The user represents and warrants (i) that they are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country, and (ii) that they are not listed on any U.S. Government list of prohibited or restricted parties.

Contact : For any question, complaint or claim regarding the Referys iOS app, the user may contact NUNC SASU at contact@referys.com.

Third-party beneficiary : The user acknowledges and agrees that Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to the Referys iOS app, and that Apple has the right (and will be deemed to have accepted that right) to enforce these Terms against the user as a third-party beneficiary.

Article 13 — Specific provisions for the Google Play Store

The Referys Android app is distributed via the Google Play Store. The Google Play terms apply in addition to these Terms. For subscriptions purchased via the Play Store, billing cycle, renewal, refunds and suspension are handled by Google according to its own rules.

Article 14 — Availability, maintenance and evolution of the service

The publisher may evolve the service at any time (adding, modifying or removing features) to improve the quality, security or relevance of the service.

Removal of a substantial feature is notified to current subscribers by email with reasonable notice. Availability conditions (target SLA 99.5%) and force majeure are detailed in the Terms of Sale (article 8).

Article 15 — Limitation of liability

The terms and cap of NUNC SASU's liability are set out in the Terms of Sale (article 9). AI features never constitute professional advice, and any decision related to the user's activity remains their sole responsibility (article 8 above).

Article 16 — Personal data

The processing of personal data is governed by the Privacy Policy, which is an integral part of the contract. For data about their contacts, the user acts as data controller and NUNC SASU as data processor (article 28 GDPR). /confidentialite

Article 17 — Changes to the Terms

These Terms may evolve for legal, technical, commercial or security reasons. Any substantial change is notified by email with 30 days' notice. Absent objection within that period, the new Terms are deemed accepted. In case of disagreement, the user may close their account free of charge.

Article 18 — Governing law and jurisdiction

These Terms are governed by French law. Any dispute relating to their formation, performance or interpretation falls under the jurisdiction of the French courts, without prejudice to the mediation procedure provided for in the Terms of Sale (article 12).

In case of translation of these Terms into another language, the French version prevails in case of contradiction.
